These Terms of Service ("Terms") govern your access to and use of the services provided by Mach 5 Agent ("we," "us," or "our"), including our website at mach5agent.com and all related marketing automation services. By using our services, you agree to be bound by these Terms.
Mach 5 Agent provides AI-powered marketing automation services for insurance agencies, including but not limited to: automated lead nurture campaigns, AI voice agents, social media content management, paid advertising management, website and landing page creation, and reputation management. The specific services included in your subscription depend on your selected plan.
To use our services, you must provide accurate and complete information during the onboarding process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Services are billed on a monthly or annual basis as selected at the time of purchase. Monthly subscriptions are billed in advance on a recurring basis. Annual subscriptions are billed upfront for the full year.
Initial setup and configuration of your automation systems requires a one-time build fee, payable at the start of service. Build fees are non-refundable once work has commenced. Annual plans may include the build fee in the subscription price.
We reserve the right to adjust pricing with 30 days' notice. Price changes will not affect the current billing period for existing subscribers.
If payment is not received within 7 days of the due date, we reserve the right to suspend services until payment is received. Accounts with balances overdue by more than 30 days may be terminated.
Monthly subscriptions may be cancelled at any time with 30 days' written notice. Services will continue through the end of the current billing period. No refunds are provided for partial months.
Annual subscriptions may be cancelled with 30 days' written notice. If cancelled within the first 90 days, a prorated refund may be issued for unused months, minus the build fee (if it was included in the annual price). After 90 days, no refunds are provided for the remainder of the annual term.
Build fees are non-refundable once the build process has begun. If you cancel before your build begins, a full refund of the build fee will be issued.
You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to:
You are solely responsible for ensuring that your use of automated communications (including AI voice agents, SMS, and email campaigns) complies with applicable consent and disclosure requirements. We provide the tools; compliance with communication laws is your responsibility.
All content, designs, workflows, automations, and technology developed by Mach 5 Agent remain our intellectual property. You are granted a non-exclusive, non-transferable license to use these materials for the duration of your active subscription. Custom content created specifically for your agency (ad copy, landing page text, campaign messaging) is yours to keep.
Our platform integrates with third-party services including but not limited to GoHighLevel, Meta, Google, and AI voice platforms. We are not responsible for outages, changes, or disruptions in third-party services. Separate terms and fees from third-party providers may apply (e.g., ad spend, phone/SMS usage, CRM subscriptions).
To the fullest extent permitted by law, Mach 5 Agent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our services.
Our total liability for any claim arising from these Terms or your use of our services shall not exceed the total amount paid by you to Mach 5 Agent during the twelve (12) months preceding the event giving rise to the claim.
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the reliability, accuracy, or completeness of our services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific results, lead volumes, conversion rates, or revenue outcomes.
You agree to indemnify and hold harmless Mach 5 Agent, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the services, your violation of these Terms, or your violation of any applicable laws.
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or through our platform. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Texas.
